      "text": "Each Receiving Party shall (a) protect the Confidential Information using at least the same degree of care it uses to protect its own similar information, but no less than reasonable care; (b) use the Confidential Information solely for the purpose of performing the logistics integration project; and (c) not disclose the Confidential Information to any third party without the prior written consent of the disclosing Party, except as required by law.",

      "text": "Confidential Information does not include information that (i) is or becomes publicly known through no fault of the Receiving Party; (ii) was rightfully known by the Receiving Party prior to disclosure; (iii) is independently developed by the Receiving Party without reference to the Confidential Information; or (iv) is rightfully obtained from a third party without restriction.",

      "text": "This Agreement shall remain in effect for a period of two (2) years from the Effective Date, unless earlier terminated by mutual written agreement of the Parties.",

      "heading": "Return or Destruction of Confidential Information",
      "text": "Upon termination of this Agreement, or upon the disclosing Party's written request, each Receiving Party shall promptly return or destroy all Confidential Information and certify in writing that it has done so.",

      "text": "The Parties acknowledge that monetary damages may be insufficient to remedy a breach of this Agreement and that the disclosing Party shall be entitled to seek injunctive relief, in addition to any other rights and remedies available at law or in equity.",
